WILMINGTON, Del., May 27, 2010 (BUSINESS WIRE) — Rigrodsky & Long, P.A. announces that it achieved a significant victory for shareholders with respect to a class action lawsuit it filed in the Delaware Court of Chancery in connection with a tender offer and merger transaction whereby CONSOL Energy, Inc. (“CONSOL”) (NYSE: CNX) will acquire the shares of CNX Gas Corporation (“CNX Gas”) (NYSE: CXG) it does not already own (the “Transaction”).  On May 25, 2010, after expedited proceedings, the Delaware Court of Chancery ruled that the Transaction would have to be assessed for “entire fairness” and that, on the current record, plaintiffs had valid claims against the defendants.  The Delaware Court of Chancery’s ruling set forth exacting standards a court could use to assess whether a controlling corporate shareholder and the board of the target corporation violated their fiduciary duties in connection with a tender offer like the Transaction.  Rigrodsky & Long, P.A. and its co-counsel in the case intend to vigorously pursue their claims against the defendants.
